These Terms & Conditions ("Terms") govern participation in the GhostCat Affiliate Program (the "Program"), operated by Ghost Cat Bikes LLC ("GhostCat," "we," "us," or "our"). By applying to or participating in the Program, you ("you," "your," or "Affiliate") agree to these Terms. If you do not agree, do not apply.
The Program is administered through Refersion, our affiliate-tracking platform. Your use of Refersion is also subject to Refersion's own terms and privacy practices.
1. Enrollment & Eligibility
To participate, you must:
• Be at least 18 years old and legally able to enter into a binding contract.
• Submit a complete, accurate application and keep your account information current.
• Maintain a website, social media presence, or other promotional channel that complies with these Terms.
• Enable automated payments in Refersion (see Section 4). You will not be paid unless automated payments are set up on your account.
Acceptance into the Program is at our sole discretion. We may approve or decline any application for any reason, and we reserve the right to remove or suspend any Affiliate at any time, at our discretion, with or without cause.
2. How Commissions Are Earned
You earn a commission on qualifying sales that are properly tracked to you through your unique Refersion affiliate link or approved discount code.
A sale is qualifying only if:
• The customer completes the purchase through your tracked link or code within the applicable cookie/attribution window;
• The order is paid in full; and
• The order is not cancelled, returned, refunded, charged back, fraudulent, or otherwise reversed.
Commission rates are shown in your Refersion account and may be updated from time to time. Unless stated otherwise:
• Commissions are calculated on the product subtotal only and exclude taxes, shipping, handling, discounts, and fees.
• Self-purchases and purchases by your household or business are not eligible for commission.
• Orders that use an unauthorized coupon or that stack disallowed discounts are not eligible.
3. Return Window
All commissions are subject to a 30-day return window. A commission is not finalized until the 30-day return period on the underlying order has closed. If an order is returned, refunded, cancelled, or charged back during this window, the associated commission is reversed and will not be paid.
4. Payments
• Payments are issued through Refersion's automated payment system. You must connect and maintain a valid payout method (e.g., PayPal) to receive payment.
• Commissions are paid monthly, after the 30-day return window on the relevant orders has closed.
• A minimum balance of $50 in finalized commissions is required to trigger a payout. Balances below $50 roll over and accumulate until the threshold is met.
• You are solely responsible for any taxes on commissions you earn. U.S. Affiliates may be required to provide a valid Form W-9, and we may issue a Form 1099 where required by law. We may withhold payment until required tax documentation is provided.
• We are not responsible for payments that fail or are delayed because of inaccurate payout details or a missing/disconnected payment method on your account.
5. Prohibited Practices
You may not do any of the following. Engaging in any of these is grounds for immediate removal and forfeiture of unpaid commissions:
• Coupon and deal sites — Operating or promoting through coupon, deal, or discount-code directories, or distributing GhostCat discount codes on such sites.
• Brand-term paid search / trademark bidding — Bidding on "GhostCat," "Ghost Cat Bikes," our product names, or confusingly similar terms (including common misspellings) on Google, Bing, or any paid search or shopping platform; or using our marks in ad copy, display URLs, or landing-page domains.
• Unauthorized discount codes — Creating, generating, or advertising discount codes we did not issue to you.
• Cookie stuffing — Forcing, injecting, or auto-loading affiliate cookies without a genuine customer click.
• Self-referrals and fraud — Referring yourself, generating fake or incentivized clicks or orders, or any activity intended to earn commissions dishonestly.
• Spam — Sending unsolicited email, SMS, or messages, or promoting the Program in violation of the CAN-SPAM Act, TCPA, or similar laws.
• Misleading claims — Making false, deceptive, or unsubstantiated statements about GhostCat, our products, pricing, or promotions.
• Unauthorized channels — Promoting on sites or accounts containing illegal, hateful, sexually explicit, or otherwise objectionable content.
If you are unsure whether a promotional method is allowed, ask us in writing first.
6. Use of Our Brand
We grant you a limited, non-exclusive, revocable license to use GhostCat names, logos, and approved marketing materials solely to promote GhostCat products under these Terms. You may not:
• Modify our logos or marks, or use them in a way that implies you are GhostCat or an authorized agent, employee, or reseller;
• Register domain names, social handles, or app names containing our marks; or
• Represent that you speak for GhostCat.
All goodwill from your use of our marks belongs to GhostCat. We may revoke this license at any time.
7. Required Disclosures
You are an independent promoter, not an employee or agent of GhostCat. You must clearly and conspicuously disclose your affiliate relationship with GhostCat wherever you promote us, in compliance with the FTC's Endorsement Guides and all applicable laws. You are responsible for the legality of your own promotional content.
8. Term & Termination
These Terms remain in effect while you participate in the Program. Either party may terminate at any time, for any reason, with or without notice. We may also suspend or remove you at our discretion (see Section 1).
Upon termination:
• Your right to use our links, codes, and marks ends immediately.
• Finalized, eligible commissions earned before termination will be paid on the normal schedule, except where termination results from your violation of these Terms or from fraud, in which case unpaid commissions are forfeited.
9. Changes to the Program or Terms
We may modify these Terms, commission rates, the return window, payout thresholds, or any other aspect of the Program at any time. Changes take effect when posted or otherwise communicated to you. Your continued participation after a change means you accept it.
10. Independent Contractors
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. You are an independent contractor responsible for your own conduct, taxes, and business expenses.
11. Disclaimers & Limitation of Liability
The Program and all materials are provided "as is," without warranties of any kind. To the fullest extent permitted by law, GhostCat is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising out of the Program. Our total liability to you for any claim will not exceed the total commissions paid to you in the three (3) months before the claim arose.
12. Indemnification
You agree to indemnify and hold harmless Ghost Cat Bikes LLC and its members, managers, officers, and affiliates from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your participation in the Program, your promotional activities, or your breach of these Terms.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

This Privacy Policy explains how Ghost Cat Bikes LLC ("GhostCat," "we," "us," or "our") collects, uses, and shares information about participants in the GhostCat Affiliate Program (the "Program"). It applies to your participation as an affiliate. Our general website privacy policy covers customers and site visitors separately.
The Program runs on Refersion, our affiliate-tracking platform. Refersion processes affiliate data on our behalf and maintains its own privacy practices, which also apply to your use of the platform.
1. Information We Collect
Information you provide when you apply and participate:
• Name and contact details (email address, and where provided, phone and mailing address);
• Business or brand name and your website, social media, or promotional channels;
• Payment information you connect for payouts (for example, your PayPal account) and, where required, tax information such as a Form W-9.
Information collected automatically as you promote us:
• Referral and performance data — clicks, referred orders, conversions, and commissions;
• Technical data associated with tracked links, such as IP address, browser and device information, and the pages or links involved in a referral;
• Cookie and tracking data used to attribute sales to you (see Section 4).
We do not collect the payment-card details of customers you refer; those are handled by our store's payment processor.
2. How We Use Information
We use this information to:
• Review your application and manage your affiliate account;
• Track referrals and attribute qualifying sales to you;
• Calculate, verify, and pay commissions;
• Detect and prevent fraud, abuse, and violations of our Program Terms;
• Communicate with you about the Program, your account, and performance;
• Comply with tax, accounting, and other legal obligations.
3. Legal Bases
Where required by law, we process affiliate information to perform our agreement with you (administering the Program and paying commissions), to comply with legal obligations, and for our legitimate interests in operating and protecting the Program.
4. Cookies & Tracking
The Program uses cookies and similar technologies, provided through Refersion, to attribute referred sales to the correct affiliate. When a customer clicks your affiliate link, a cookie records the referral so that a resulting purchase within the attribution window is credited to you. This tracking is essential to running the Program and paying commissions accurately.
5. How We Share Information
We do not sell your personal information. We share it only as needed to run the Program:
• Refersion, which hosts the Program and processes affiliate and tracking data on our behalf;
• Payment processors (for example, PayPal) to issue your commission payments;
• Professional advisors and tax authorities, where required for accounting, tax reporting, or legal compliance;
• Other service providers that support our operations under confidentiality obligations;
• In connection with a business transfer, such as a merger, acquisition, or sale of assets;
• When required by law, or to protect our rights, safety, or property.
6. Data Retention
We retain affiliate information for as long as your account is active and as needed to administer the Program. After termination, we keep records as long as necessary to complete payments, meet tax and legal requirements, resolve disputes, and enforce our agreements, after which we delete or anonymize the information.
7. Your Privacy Rights
Depending on where you live, you may have rights to access, correct, delete, or obtain a copy of your personal information, and to object to or restrict certain processing.
California residents (CCPA/CPRA): You have the right to know what personal information we collect, to request access or deletion, to correct inaccurate information, and to not be discriminated against for exercising these rights. We do not sell or "share" (for cross-context behavioral advertising) affiliate personal information.

8. Security
We use reasonable administrative, technical, and physical safeguards to protect affiliate information. No system is completely secure, so we cannot guarantee absolute security. Keep your account credentials confidential and notify us of any suspected unauthorized use.
9. Third-Party Links & Services
The Program and our promotional materials may link to third-party sites and services (including Refersion and payment providers) that have their own privacy practices. We are not responsible for those practices; please review their policies.
10. Children
The Program is for adults. We do not knowingly collect information from anyone under 18. If you believe a minor has provided us information, contact us and we will delete it.
11. Changes to This Policy
We may update this Privacy Policy from time to time. Changes take effect when posted, and we will update the effective date above. Your continued participation after a change means you accept the updated Policy.
